This Terms & Conditions document ("Terms") governs your access to and use of the Platform and any associated mobileapplication, website, client desk, software application, customer portal, client dashboard, digital interfaces, applicationprogramming interfaces (APIs) or online or offline transaction platform (together, the "Platform" ) owned, developed,managed, operated, or used by Invincible Minds Private Limited and/or its affiliates ("we","us" "our","Company"), acompany engaged in the distribution of financial products and the provision of allied and other SEBI/regulator-registeredfinancial services in India, as more particularly described in Clause 2 below.By accessing, browsing, downloading, or using the Platform in any manner, including merely browsing the Platform orregistering as a user, you ("User", "you", "your") irrevocably and unconditionally agree to be bound by these Terms, ourPrivacy Policy, and any other guidelines, policies, product-specific agreements/terms, or supplementary terms referencedherein or made available on the Platform. If you do not agree with these Terms, please discontinue all access to and useof the Platform. immediately.
In terms of the Information Technology Act, 2000 and the rules made thereunder, this document is an electronic recordgenerated by a computer system and does not require any physical or digital signature.
This document is published inaccordance with, and is subject to, Rule 3(1) of the Information Technology (Intermediary Guidelines and DigitalMedia Ethics Code) Rules, 2021 (as amended from time to time), which requires publication of the rules andregulations, privacy policy, and terms of use for access or usage of the Platform.
1. Definitions
“Account" means the User account created on the Platform for accessing or availing the Products/Services
"AMC" means an Asset Management Company managing a SEBI-registered mutual fund scheme.
"AMFI" means the Association of Mutual Funds in India."Applicable Law" means all applicable statutes, rules, regulations, circulars, notifications, guidelines, regulatory directions and judicial orders applicable to the Company, Product Providers, Products/Services or Users.
"ARN" means the AMFI Registration Number issued to a mutual fund distributor.
"Affiliate" means, with respect to any entity, any entity that directly or indirectly controls, is controlled by, or is under common control with such entity, including its holding company, subsidiary, associate company, joint venture or group company.
"Business Day" means any day on which banks, the relevant Regulatory Authority, Exchanges, Depositories, RTAs or the relevant financial market infrastructure are open for carrying on business relating to the applicable Product/Service.
"Content" means all text, graphics, logos, software, reports, research, market data, charts, audio, video, images, calculators, educational material, user interfaces, designs, trademarks and other information available on the Platform.
"Depository" means NSDL, CDSL or any other depository recognised under applicable law.
"Exchange" means a recognised stock exchange in India, including the National Stock Exchange of India Limited (NSE) and BSE Limited (BSE), or any other exchange on which the Company may, upon obtaining the relevant registration, be permitted to operate.
"KYC" means the Know Your Client norms prescribed by SEBI, KYC Registration Agencies (KRAs), Depositories, Exchanges, and other applicable regulators from time to time.
"Platform" means the website, mobile application, APIs, software, dashboards, customer interfaces, portals, communication channels and all other digital interfaces owned, operated or made available by the Company.
"Privacy Policy" means the privacy policy of the Company, as updated from time to time, available on the Platform.
"Products/Services" means the financial products and services made available by the Company through the Platform from time to time, including mutual fund distribution and, as and when the Company obtains the requisite registrations, stock broking, depository participant services, portfolio management, insurance distribution, or any other SEBI/IRDAI/regulator-approved financial products and services.
"Product Provider" means any AMC, insurer, issuer, bank, NBFC, broker, depository participant, trustee, financial institution or any other entity whose Products/Services are made available through the Platform.
"Regulatory Authority" means SEBI, AMFI, RBI, IRDAI, PFRDA, the Exchanges, Depositories, and/or any other statutory or regulatory body having jurisdiction over the Company's activities, as applicable to the specific Product/Service.
"RTA" means the Registrar and Transfer Agent appointed by an AMC.
"SEBI" means the Securities and Exchange Board of India.
"User", "You", "Your" means any person who accesses, browses, registers on, or transacts through the Platform, whether or not such person completes a transaction, in respect of any Product/Service.
"Privacy Policy" means the privacy policy of the Company, as updated from time to time, available on the Platform.
"Products/Services" means the financial products and services made available by the Company through the Platform from time to time, including mutual fund distribution and, as and when the Company obtains the requisite registrations, stock broking, depository participant services, portfolio management, insurance distribution, or any other SEBI/IRDAI/regulator-approved financial products and services.
"Product Provider" means any AMC, insurer, issuer, bank, NBFC, broker, depository participant, trustee, financial institution or any other entity whose Products/Services are made available through the Platform.
"Regulatory Authority" means SEBI, AMFI, RBI, IRDAI, PFRDA, the Exchanges, Depositories, and/or any other statutory or regulatory body having jurisdiction over the Company's activities, as applicable to the specific Product/Service.
"RTA" means the Registrar and Transfer Agent appointed by an AMC.
"SEBI" means the Securities and Exchange Board of India.
"User", "You", "Your" means any person who accesses, browses, registers on, or transacts through the Platform, whether or not such person completes a transaction, in respect of any Product/Service.
"Force Majeure Event" means any event beyond the reasonable control of the Company, including but not limited to system or network failure, breach or virus affecting processing/payment/delivery systems, fire, flood, explosion, acts of God, civil commotion, strikes, riots, war, acts of government, cyber-attacks, hacking, ransomware attacks, denial-of-service attacks, computer hacking, unauthorised access to data or storage devices, payment system failures, failures of Exchanges, Depositories, RTAs, banks or other financial infrastructure, or telecommunication faults or failures.
2. About Us and the Scope of Our Services
The Company is presently engaged in the business of distribution of mutual fund products and is registered with AMFI as a mutual fund distributor bearing ARN – 365266. The Company may also be empanelled with, or operate through, the technology and transaction platform(s) of one or more SEBI-registered/AMFI-empanelled intermediaries, including, where applicable, the Registrar and Transfer Agents (RTAs) of the respective AMCs, the stock exchange mutual fund platforms (BSE StAR MF of BSE Limited and NSE NMF II of the National Stock Exchange of India Limited), MF Utilities India Private Limited (MFU), and KYC Registration Agencies (KRAs) and the Central KYC Records Registry (CKYCR) for order routing, transaction processing platform(s) of one or more SEBI-registered/AMFI-empanelled distribution platforms including, where applicable, for order routing, KYC facilitation, and reporting purposes and may engage third-party technology vendors, cloud service providers, communication service providers and other infrastructure partners for supporting the operation of the Platform and delivery of the Products/Services.
The Company may, from time to time, introduce, discontinue, modify or expand the range of Products/Services, (including but not limited to stock broking, depository participant services, portfolio management services, or distribution other financial products, upon obtaining the requisite registration(s)/license(s) from SEBI, the Exchanges, Depositories, or other applicable Regulatory Authority) available through the Platform without prior notice. Availability of any Product or Service on the Platform shall not constitute a representation or obligation that such Product or Service will continue to remain available. Nothing contained on the Platform shall obligate the Company to continue offering any Product/Service for any specific duration. The availability of any Product/Service shall always remain subject to Applicable Law, regulatory approvals and the Company's commercial arrangements with the relevant Product Providers.These Terms shall apply generally to your use of the Platform across all such Products/Services, in addition to any product-specific terms, rights and obligations documents, or client agreements that the Company shall separately make available and which you shall be required to separately accept before availing that particular Product/Service. Where a particular Product/Service is governed by any additional terms, client agreements, rights and obligations documents, tariff sheets, disclosure documents or regulatory documentation prescribed by the applicable Regulatory Authority, such documents shall apply in addition to these Terms. In the event of any inconsistency, the product-specific documentation shall prevail only to the extent of such inconsistency for that particular Product/Service.
The Company's current registration details, and any additional registrations obtained in the future, shall be displayed on the Platform. You are advised to verify the specific registration under which a Product/Service is being offered before transacting.
Mutual Fund Distribution: We are permitted to render only incidental advice with respect to mutual fund products to our clients, strictly in accordance with SEBI (Mutual Funds) Regulations, 1996 and applicable AMFI/ SEBI guidelines. We are not a SEBI-registered Investment Adviser under the SEBI (Investment Advisers) Regulations, 2013, and nothing on the Platform constitutes independent investment advisory services.
Stock Broking and Other Future Services: Should the Company commence stock broking, depository participant, or any other regulated activity, such activity shall be conducted strictly under the relevant registration granted by SEBI/the Exchanges/Depositories, and shall be governed by the applicable Rights and Obligations documents, Uniform Client Registration Form, Exchange bye-laws, rules and regulations, and any risk disclosure documents mandated for that activity, which shall be incorporated by reference into, and read together with, these Terms.
Any other financial or investment products referenced on the Platform (such as fixed deposits, bonds, alternative investment products, insurance, or the National Pension System), where offered, are made available strictly on a distribution-only basis, in commercial arrangement with the respective product providers/issuers, and do not constitute investment advice of any kind.
The Platform may operate as a marketplace, aggregator or technology platform enabling Users to access Products/Services offered by one or more Product Providers. Unless expressly stated otherwise, the Company does not act as the issuer, investment adviser, manufacturer, insurer, borrower, lender, trustee, custodian or guarantor of the Products/Services offered by third-party Product Providers.
The decision to approve, reject, issue, allot, execute or service any Product/Service shall remain solely with the relevant Product Provider in accordance with its internal policies, Applicable Law and regulatory requirements. The Company shall not be responsible for any decision taken by such Product Provider.
MUTUAL FUND INVESTMENTS ARE SUBJECT TO MARKET RISKS, READ ALL SCHEME RELATED DOCUMENTS CAREFULLY BEFORE INVESTING.
Investments in securities/other market-linked products are subject to market risks. Please read all offer and risk disclosure documents carefully before investing, once such Products/Services are made available on the Platform.
4. Eligibility, Registration and KYC
You represent that you are at least 18 years of age and are competent to enter into a binding contract under the Indian Contract Act, 1872, or where any Product/Service is permitted to be availed by or for a minor under Applicable Law, such Product/Service shall be operated only through the minor's lawful parent or guardian and subject to Applicable Law and the relevant Product Provider's requirements. Where you act on behalf of any company, partnership, LLP, HUF, trust or any other entity, you represent that you are duly authorised to bind such entity.
Access to transaction-related Services shall be granted only after you complete KYC, investment readiness, and identity/document verification in accordance with SEBI's KYC guidelines and any applicable KRA/CKYC/Depository norms for the relevant Product/Service.
You are required to provide complete and accurate information and documents as may be prescribed for KYC, registration,, KRAs/CKYCR, AMCs/RTAs, Exchanges, Depositories, or any other Regulatory Authority applicable to the relevant Product/Service, together with such other details as we may reasonably require from time to time, and to keep all such information current and updated. The Company shall be entitled to rely upon the information and documents furnished by you unless it has reason to believe that the same are inaccurate, incomplete or misleading.
The Company reserves the right to reject or suspend any registration, onboarding request or transaction, seek additional documentation, undertake enhanced due diligence, restrict access to any Product/Service or terminate your Account where it is required to do so under Applicable Law, pursuant to any regulatory direction, internal risk management policies, anti-money laundering obligations, sanctions screening, fraud prevention measures or where any discrepancy is identified in the information or documents submitted by you. Acceptance of your registration or completion of KYC shall not be construed as an obligation on the Company to provide any Product/Service, the availability of which shall remain subject to Applicable Law, internal eligibility criteria and the requirements of the relevant Product Provider.
Access to the Platform or any Product/Service may require you to register and create an Account. You agree to provide complete, accurate and up-to-date information during registration and to promptly update any changes to such information. You shall be solely responsible for maintaining the confidentiality of your login credentials, including your User ID, password, PIN, OTP or any other authentication mechanism, and shall be responsible for all activities carried out through your Account until the Company is notified of any unauthorised access at [support email/phone].
Where you avail a new Product/Service in the future , you may be required to complete a fresh or supplementary KYC/registration/client agreement specific to that Product/Service, and your access to that Product/Service shall be subject to your acceptance of the corresponding terms.
Subject to Applicable Law, the Company's Privacy Policy and obtaining any consent required thereunder, the Company may utilise information already available with it to facilitate onboarding for additional Products/Services; however, the Company reserves the right to require fresh information, documents or verification wherever considered necessary for regulatory compliance, internal risk management or the nature of the relevant Product/Service.
5. Use of the Platform
You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of, or restrict, or inhibit the use and enjoyment of the Platform by any other person. You shall also comply with all applicable laws, regulations and directions issued by the relevant Regulatory Authority in connection with your access to or use of the Platform and the Products/Services.
You shall not use the Platform in any manner that may interfere with, disrupt, impair or adversely affect the operation, security or integrity of the Platform or the experience of other Users.
You shall not use the Platform for any fraudulent, unlawful or unauthorised purpose, including but not limited to identity theft, impersonation, money laundering, financing of unlawful activities, market abuse, submission of false or misleading information, or any activity that may expose the Company or any Product Provider to legal, regulatory or reputational risk.
You shall not copy, reproduce, republish, upload, transmit, distribute, or create derivative works from any Content on the Platform, except for your own personal, non-commercial use. You shall not remove, modify or obscure any copyright, trademark, proprietary or other intellectual property notices appearing on the Platform or its Content.
You shall not attempt to reverse engineer, decompile, disassemble, or otherwise tamper with the software or systems underlying the Platform, or attempt to gain unauthorised access to our systems, servers, or networks. You shall further not use any robot, spider, crawler, scraper, automated script, artificial intelligence tool, data mining tool or any other automated means to access, extract, monitor, copy or otherwise collect information or content from the Platform.
The Company reserve the right, at our sole discretion, to suspend or terminate your access to the Platform without prior notice in case of any suspected unauthorised use, breach of these Terms, or fraudulent activity.
6. Transactions Through the Platform
Mutual fund instructions placed through the Platform (purchase, redemption, switch, SIP, STP, SWP) are forwarded by the Company to the relevant AMC, RTA, or platform for processing. Allotment or redemption is based on the NAV applicable under the Product Related Documents and SEBI cut-off timing norms, and not on the date or time of your instruction.
The Company acts primarily as a technology-enabled platform and/or distributor for facilitating transactions in respect of the Products/Services. The execution, acceptance, rejection, allotment, settlement or servicing of any transaction shall remain subject to the applicable Product Provider's internal policies, Applicable Law and regulatory requirements. The Company does not guarantee that any transaction initiated through the Platform will be accepted, executed or completed.
Transactions placed on a non-Business Day or after cut-off are processed on the next business day, with NAV applied accordingly. We do not guarantee execution and are not liable for any delay, rejection, or partial execution caused by an AMC, RTA, Exchange, Depository, bank, or payment gateway, or by causes beyond our reasonable control.
Payments must be made only from your own registered bank account, using approved modes such as (net banking, UPI, NEFT/RTGS). Third-party payments are not permitted and may be rejected.
You acknowledge that any payment instruction initiated through the Platform may be processed through banks, payment aggregators, payment gateways, UPI service providers or other authorised payment system participants and that the Company shall not be responsible for any delay, failure, reversal, rejection or interruption attributable to such third-party payment infrastructure
Once submitted, instructions cannot ordinarily be cancelled; for mutual funds, you may instead place a fresh redemption instruction for allotted units, subject to exit load and the Scheme Related Documents. For any Exchange-traded Product/Service offered in the future, order placement, modification, and cancellation shall be governed by the applicable Rights and Obligations document and Exchange rules.
Where any Product/Service is introduced in the future, the manner of transaction execution, modification, cancellation, settlement and servicing shall additionally be governed by the applicable product-specific terms, regulatory framework and operational procedures prescribed by the relevant Product Provider or Regulatory Authority.
The Company reserves the right to decline, suspend, cancel or withhold processing of any transaction where required under Applicable Law, pursuant to regulatory directions, internal risk management policies, sanctions screening, AML obligations, court orders, instructions from Regulatory Authorities fraud prevention measures, suspected unauthorised activity, incomplete documentation, payment verification issues or technical failures affecting the Platform or any third-party infrastructure.
You are responsible for verifying all transaction details, including the Product/Service selected, amount, payment details, bank account, demat account, nominee details and any other information before submitting a transaction request. Once submitted, the Company shall be entitled to rely upon the transaction instructions received through your authenticated Account.
7. Fees, Brokerage and Commission Disclosure
The Company does not, at present, charge Users any transaction or platform fee for placing mutual fund transactions through the Platform. The Company reserve the right to introduce fees for any Product/Service in the future, which shall be communicated to you via email,notice on the Platform or any other legally permissible mode of communication along with a schedule of charges applicable to each Product/Service.
As an AMFI-registered distributor, the Company earns brokerage/commission (including trail commission) from AMCs on the mutual fund schemes distributed by us. In accordance with SEBI/AMFI norms, such commission structures across competing schemes recommended to you have been, or will be, disclosed to you. Our recommendations are not influenced by the quantum of brokerage payable, and performance data of comparable schemes from competing AMCs is made available for your reference.
Where the Company facilitates Products/Services offered by third-party Product Providers, the Company may receive commissions, referral fees, distribution fees, incentives or other remuneration from such Product Providers to the extent permitted under Applicable Law.
Such remuneration shall not, by itself, constitute investment advice or create any fiduciary obligation unless otherwise required under Applicable LawWhere the Company offers stock broking or other Exchange-traded services in the future, brokerage, statutory levies (STT, GST, stamp duty, SEBI/Exchange/Depository charges, etc.), and other charges applicable to such Products/Services shall be separately disclosed in the tariff sheet/schedule of charges made available at the time of onboarding for that Product/Service.
You acknowledge that banks, payment gateways, UPI service providers, payment system participants or other third-party service providers may independently levy charges in connection with your transactions, and such charges shall be borne by you unless expressly agreed otherwise. The Company shall not be responsible for such third-party charges.Unless expressly stated otherwise, all fees and charges are exclusive of applicable taxes, duties, cess and statutory levies, which shall be borne by the User in accordance with Applicable Law.
The Company reserves the right to revise, modify or introduce any fees or charges for any Product/Service from time to time, subject to Applicable Law and prior disclosure through the Platform or any other legally permissible mode of communication. Continued use of the relevant Product/Service after such revision shall constitute your acceptance of the revised fees or charges.
8. Third-Party Links and Content
The Platform may contain links to third-party platforms, websites, applications, portals, software, APIs, payment gateways, communication channels, social media pages or display third-party content for your convenience. The Company does not control, endorse, or assume responsibility for the accuracy, legality, or content of any third-party Platform or service. Access to any linked third-party website is entirely at your own risk, and any dealings with such third parties are solely between you and that third party.
9. Intellectual Property
All Content on the Platform, including text, graphics, logos, trademarks, software, source code, and design, is the exclusive property of Invincible Minds Private Limited or its licensors and is protected under applicable Indian intellectual property laws.
For the purposes of these Terms, the Company's intellectual property shall also include its software, source code, object code, application programming interfaces (APIs), algorithms, databases, user interfaces, workflows, artificial intelligence or machine learning models (if any), reports, calculators and other proprietary technology used in connection with the PlatformYou shall not copy, reproduce, distribute, modify, publish, transmit, or commercially exploit, reverse engineer, decompile, disassemble, create derivative works from, or otherwise use any content available on the Platform.
Nothing contained in these Terms shall be construed as granting any licence, right, title or interest in your favour in respect of the Company's intellectual property except the limited, revocable, non-exclusive, non-transferable right to access and use the Platform strictly in accordance with these Terms.
If you provide any suggestions, comments, ideas, enhancement requests, feedback or other recommendations relating to the Platform or the Products/Services, you agree that the Company shall be free to use, modify, implement, commercialise and incorporate such feedback without any restriction or obligation to compensate you, and you hereby assign all rights, title and interest, if any, in such feedback to the Company to the extent permissible under Applicable Law.
The Company reserves the right to take appropriate civil, criminal or other legal action against any person who infringes or misuses its intellectual property rights.
10. Disclaimer of Warranties and Limitation of Liability
The Platform and Products/Services are provided on an "as is" and "as available" basis, The company expressly disclaims all warranties, including any warranty as to the availability, accuracy, completeness, reliability, timeliness, suitability or usefulness of any content, information, product or service available through the platform, as well as any implied warranties of title, non-infringement, merchantability, fitness for a particular purpose or freedom from computer viruses, malware or other harmful components
.All investments and financial products are subject to market, credit, liquidity, operational and other applicable risks. Past performance is not indicative of future performance, and any illustrations, projections, indicative returns or simulated results displayed on the Platform are for illustrative purposes only and shall not be construed as a guarantee or assurance of future returns or performance. Users are solely responsible for evaluating the suitability of any Product/Service in light of their financial objectives, risk appetite and personal circumstances and are encouraged to seek independent professional advice wherever considered necessary.
To the maximum extent permitted under Applicable Law, the Company (including its and their officers, directors, employees, affiliates, group companies agents, representatives or subcontractors) shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, loss of revenue, loss of business, loss of opportunity, loss of goodwill, loss of anticipated savings or loss or corruption of data arising out of or in connection with your access to or use of the Platform or any Product/Service.
Without limiting the generality of the foregoing, We shall not be liable for any loss, damage, cost, or expense arising from: (a) any act, omission, or delay of any AMC, RTA, Exchange, Depository, bank, or payment gateway/aggregators or any other third-party infrastructure on which the Products/Services may depend; (b) unauthorised or fraudulent use of your login credentials; (c) system failure, virus, malware, or network/telecommunication interruption; (d) any Force Majeure Event; or (e) fluctuation in NAV, security price, or investment value. Nothing herein shall exclude any liability that cannot lawfully be excluded under Indian law, including any liability specifically cast on the Company under the Rights and Obligations documents or Exchange/Depository regulations applicable to a regulated activity such as stock broking, once undertaken.
The Company does not warrant that the Platform will operate uninterrupted, error-free, secure or free from viruses, malware or other harmful components, although reasonable security measures are implemented by the Company.
In no event shall the Company’s aggregate liability to you, whether in contract, tort, or otherwise, exceed the amount of fees (if any) paid by you to us for the specific Product/Service giving rise to the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Invincible Minds Private Limited,its Affiliates, its directors, employees, and representatives from and against any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of: (a) your access to or use of the Platform; (b) your breach of these Terms or any product-specific agreement; or (c) your violation of any applicable law or the rights of any third party. (d) any inaccurate, false, misleading or incomplete information or documentation provided by you; or (e) any fraudulent, negligent, wilful misconduct or other unlawful act or omission on your part. The Company shall be entitled to recover from you (and you agree to pay), in addition to all sums to which it is entitled or any other relief, at law or in equity, reasonable and necessary attorney's fees and any costs of any litigation.
12. Privacy and Data Protection
You acknowledge and agree that the Company may collect, receive, store, process, use, transmit and otherwise deal with your personal information in accordance with our Privacy Policy (available at [Privacy Policy URL]), the Information Technology Act, 2000 the Digital Personal Data Protection Act, 2023. for the purpose of providing, facilitating, improving and administering the Products/Services available through the Platform.
You authorise the Company to share your personal information with its holding company, subsidiaries, Affiliates, group companies, Product Providers, authorised service providers, technology partners, payment partners, KYC agencies, regulatory authorities and other third parties to the extent necessary for providing the Products/Services andcomplying with regulatory requirements, and rendering incidental advisory or other permitted support in respect of the relevant Product/Service.
Where you choose to avail any additional Product/Service through the Platform, the Company may, subject to Applicable Law and the Privacy Policy, utilise information already available with it to facilitate your onboarding, reduce duplication of information and improve your user experience. However, where Applicable Law or the Privacy Policy requires separate or explicit consent for any specific purpose or sharing, such consent shall be obtained before the relevant information is shared or used.
The Company may retain your information for such period as may be required under Applicable Law, regulatory requirements, internal record retention policies or for the establishment, exercise or defence of legal claims, following which such information may be deleted, anonymised or otherwise dealt with in accordance with the Privacy Policy and Applicable Law.
The Company may also use aggregated, anonymised or de-identified information for analytics, service improvement, statistical analysis, product development, business intelligence and other lawful purposes, provided that such information does not identify any individual User.
13. Force Majeure
The Company (including its directors, employees, affiliates, agents, representatives or subcontractors) shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from a Force Majeure Event. The Company’sobligations shall stand suspended for so long as such event continues, without any liability accruing to us on that account..
14. Amendment of Terms
The Company reserves the right to amend, modify, or supplement these Terms at any time, at the Company’s sole discretion, including to reflect the introduction of new Products/Services such as stock broking, without prior notice. The updated Terms shall be posted on the Platform with a revised "Last Updated" date, and your continued use of the Platform after such changes constitutes your acceptance of the amended Terms. You are encouraged to review these Terms periodically. Where a Product/Service is governed by separate product-specific documentation, amendments to these Terms shall not modify such documentation unless expressly stated therein
15. Termination
The Company may suspend, restrict or terminate your access to the Platform, or to any specific Product/Service, with or without notice, in the event of any breach of these Terms or the relevant product-specific agreement, suspected fraud, or where such action is required under Applicable Law or pursuant to any direction of a Regulatory Authority, court or governmental authority, or is reasonably necessary for fraud prevention, security, internal risk management or to protect the interests of the Company, its Affiliates, Product Providers or other Users or at the Company’s sole discretion. You may discontinue using the Platform at any time by ceasing to access or use the Platform. Where you have subscribed to or availed any Product/Service, or where any transaction, obligation or regulatory requirement remains pending, the discontinuance or termination of your access shall not affect the processing of such transaction or the performance of obligations that have already accrued, and shall remain subject to the terms governing the relevant Product/Service and Applicable Law.Suspension, restriction or termination of your access shall not affect any rights, remedies, obligations or liabilities that have accrued prior to the effective date of such suspension, restriction or termination.The provisions relating to confidentiality, privacy, intellectual property, indemnity, limitation of liability, dispute resolution, governing law and any other provisions which, by their nature, are intended to survive, shall continue to remain in full force and effect notwithstanding the suspension, restriction or termination of your access to the Platform or these Terms.Suspension or termination of your access shall not oblige the Company to delete or erase any information that it is required or permitted to retain under Applicable Law, the Privacy Policy or its internal record retention policies.
16. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, including the SEBI Act, 1992, SEBI (Mutual Funds) Regulations, 1996, and, as and when applicable, SEBI (Stock Brokers) Regulations, 1992, Exchange/Depository bye-laws, and other applicable regulations governing the Products/Services offered by the Company. Subject to the SEBI Online Dispute Resolution framework and any Exchange/Depository arbitration mechanism (where applicable), all disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Mumbai, India.
17. Entire Agreement
These Terms, together with the Privacy Policy and any product-specific agreements or supplementary terms referenced herein, constitute the entire agreement between you and Invincible Minds Private Limited with respect to your use of the Platform and the Products/Services availed by you, and supersede all prior understandings, whether oral or written, on the subject matter hereof.In the event of any inconsistency between these Terms and any product-specific terms governing a particular Product/Service, the product-specific terms shall prevail solely with respect to such Product/Service and only to the extent of such inconsistency.If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue to remain valid and enforceable to the fullest extent permitted under Applicable Law.No failure or delay by the Company in exercising any right, power or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power or remedy preclude any further exercise thereof.
18. Assignment
The Company may assign, novate or otherwise transfer its rights and obligations under these Terms, in whole or in part, to any Affiliate, successor or permitted assignee, subject to Applicable Law. The User shall not assign, transfer or otherwise deal with any of its rights or obligations under these Terms without the prior written consent of the Company.
